1. Acceptance of Terms

By creating an account or using Stat-Ninja ("the Service"), you agree to these Terms of Service. If you do not agree, do not use the Service. The Service is operated by Seamless Events & Marketing LLC, St. Louis, MO, USA ("we," "us," or "our").

2. Eligibility

You must be at least 18 years old to create an account. By using the Service, you represent that you are 18 or older. The Service is intended for coaches, parents, and team administrators managing youth sports teams.

3. Your Account

You are responsible for maintaining the security of your account and for all activity that occurs under it. You must provide a valid email address and keep it current. Notify us immediately at privacy@stat-ninja.com if you suspect unauthorized access to your account.

4. Acceptable Use

You agree not to use the Service to:

• Harass, threaten, or harm any individual
• Upload illegal, obscene, or inappropriate content, including photos
• Attempt to hack, scrape, reverse-engineer, or otherwise compromise the Service
• Create fake, fraudulent, or misleading accounts
• Use the Service for any purpose other than its intended use as a sports team management tool
• Violate any applicable local, state, or federal law

We reserve the right to suspend or terminate your account immediately and without notice for any violation of these rules.

5. Your Content

You retain ownership of all data, photos, and content you enter into the Service ("Your Content"). By using the Service, you grant us a limited license to store, display, and transmit Your Content solely for the purpose of operating the Service. We do not claim any ownership over Your Content and will not use it for marketing or any other purpose without your consent.

6. Service Availability

We provide the Service on an "as-is" and "as-available" basis. We make no guarantees about uptime, availability, or uninterrupted access. We may perform maintenance, updates, or experience outages at any time without notice. We are not liable for any losses resulting from downtime or service interruptions.

7. Paid Plans and Refunds

The Service currently offers a free tier. Paid plans may be introduced in the future. When paid plans are available:

• All pricing will be clearly disclosed before purchase
• You may request a full refund within 30 days of your initial purchase by emailing privacy@stat-ninja.com
• After 30 days, all purchases are final

We reserve the right to change pricing at any time with reasonable notice.

8. Termination

You may stop using the Service and delete your account at any time. We reserve the right to suspend or terminate your account immediately and without notice if we determine, in our sole discretion, that you have violated these Terms or that your use of the Service poses a risk to other users or to us.

Upon termination, your data will be deleted within 30 days in accordance with our Privacy Policy.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. USE OF THE SERVICE IS AT YOUR OWN RISK.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SEAMLESS EVENTS & MARKETING LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Governing Law

These Terms are governed by the laws of the State of Missouri, USA. Any disputes arising from these Terms or your use of the Service shall be resolved exclusively in the courts located in St. Louis, Missouri, and you consent to personal jurisdiction there.

12. Changes to These Terms

We may update these Terms at any time. If we make material changes, we will post a notice on stat-ninja.com with an updated "Last revised" date. Continued use of the Service after changes are posted constitutes your acceptance of the new Terms.
